These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "your") and CRC Cloud® and its TPAIT™ initiative ("TPAIT," "we," "us," or "our"). By accessing or using our website at tpait.com (the "Website"), you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Website.

2. Website Use Only

These Terms govern your use of this Website only. Our managed IT, cybersecurity, and private cloud services are provided pursuant to separate Master Service Agreements, Statements of Work, and/or Service Level Agreements executed between TPAIT (or CRC Cloud) and each client. Nothing on this Website constitutes an offer to provide services, and no client relationship is created by your use of this Website or submission of a contact form or consultation request.

3. Permitted Use

You may access and use the Website for lawful purposes consistent with these Terms. You agree not to:

  • Use the Website in any manner that could disable, overburden, damage, or impair the Website or interfere with any other party's use
  • Attempt to gain unauthorized access to any portion of the Website, server, or any systems or networks connected to the Website

You agree to indemnify, defend, and hold harmless CRC Cloud®, TPAIT, and their respective officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Website; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any rights of a third party.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or your use of the Website shall be brought exclusively in the state or federal courts located in Orange County, California. You consent to the personal jurisdiction and venue of such courts and waive any objection based on inconvenient forum.

12. Dispute Resolution

Prior to initiating any formal legal proceedings, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Website through good faith negotiation. You shall send written notice of the dispute to us at the address below, and the parties shall attempt to resolve the dispute within thirty (30) days of receipt of such notice. If the dispute cannot be resolved through negotiation, either party may pursue available legal remedies in the courts specified in Section 11.

For the avoidance of doubt, these Terms do not govern the provision of managed IT, cybersecurity, or private cloud services, which are subject to separate written agreements.

16. Waiver

No waiver by us of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition, or a waiver of any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

17. Force Majeure

We shall not be liable for any failure or delay in performance of our obligations under these Terms to the extent such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, government actions, power failures, Internet or telecommunications disruptions, or cyberattacks.
